Quotes and Pricing
Quotes are valid for the period stated on the quote. If no validity period is specified, quotes are valid for thirty (30) days. Pricing may change due to supplier price increases, inventory availability, freight costs, tariff changes, material costs, labor costs, or other factors outside our control. Graphic Stylus LLC reserves the right to revise pricing prior to order approval and payment.

Orders and Acceptance
An order is not considered accepted until Graphic Stylus LLC confirms the order and any required approvals, deposits, artwork approvals, or payments have been received. We reserve the right to decline any order for any reason, including product availability, supplier restrictions, artwork concerns, or suspected fraud.

Artwork Approvals
Customers are responsible for carefully reviewing all proofs, mockups, artwork approvals, order confirmations, spelling, colors, quantities, imprint locations, personalization details, and production specifications. Approval of artwork or proofs constitutes authorization to proceed with production. Graphic Stylus LLC is not responsible for errors approved by the customer, including spelling errors, design errors, quantity errors, color selections, personalization information, or other approved content.

Customer-Supplied Artwork
Customers represent and warrant that they own or possess all necessary rights, permissions, licenses, and authorizations for any logos, trademarks, artwork, photographs, graphics, or other content submitted. Customers agree to indemnify and hold harmless Graphic Stylus LLC from claims arising from customer-supplied materials.

Product Images and Mockups
Product images, renderings, virtual proofs, mockups, website photography, and promotional materials are intended for illustrative purposes only. Actual products may vary in color, size, material, texture, imprint placement, imprint size, packaging, and appearance.

Production Times
Estimated production times are estimates only and are not guaranteed unless expressly agreed to in writing. Production schedules may be affected by supplier delays, inventory shortages, artwork revisions, shipping carrier issues, weather events, labor disruptions, equipment failures, government actions, or other circumstances beyond our control.

Shipping and Delivery
Delivery dates are estimates unless specifically guaranteed in writing. Graphic Stylus LLC is not responsible for delays caused by shipping carriers, weather, customs processing, strikes, transportation interruptions, inaccurate addresses, recipient availability, or other circumstances outside our control. Risk of loss transfers upon delivery to the carrier.

Inventory Availability
Product availability is subject to supplier inventory levels at the time an order is placed. Products displayed on websites, company stores, portals, catalogs, or proposals may become unavailable without notice. Graphic Stylus LLC reserves the right to substitute comparable products with customer approval when necessary.

Payment Terms
Unless otherwise agreed in writing, payment is due according to the terms stated on the invoice. Late payments may result in delayed production, delayed shipment, suspension of services, finance charges, collection efforts, or cancellation of open orders. Customers are responsible for reasonable collection costs and legal fees incurred in collecting unpaid balances.

Company Stores
Graphic Stylus LLC may provide company stores, redemption programs, onboarding programs, uniform programs, employee recognition programs, and related e-commerce services. Company store inventories, redemption values, budgets, availability, and program terms may change without notice. Customers are responsible for maintaining accurate participant information and program requirements.

Returns and Claims
Due to the custom nature of promotional products, decorated merchandise, personalized products, and branded items, orders are generally non-refundable. Claims regarding defects, shortages, damages, or errors must be reported within three (3) business days of receipt. We reserve the right to inspect, replace, repair, credit, or otherwise resolve claims at our sole discretion.

Cancellations
Orders may not be canceled after production has begun. Cancellation requests submitted after supplier commitments, artwork approvals, product sourcing, decoration setup, or production activities may be subject to cancellation fees.

Force Majeure
Graphic Stylus LLC shall not be liable for delays or failures resulting from events beyond our reasonable control, including acts of God, natural disasters, labor disruptions, supply chain interruptions, pandemics, governmental actions, cyber incidents, utility failures, transportation disruptions, or similar events.

Limitation of Liability
To the fullest extent permitted by law, Graphic Stylus LLC shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages. Graphic Stylus LLC’s total liability arising from any transaction shall not exceed the amount paid by the customer for the specific order giving rise to the claim.

Website Use
Users agree not to misuse our websites, online stores, portals, forms, search tools, or digital services. Unauthorized access attempts, scraping, automated abuse, interference with services, or unlawful activity are prohibited.

Intellectual Property
All website content, branding, graphics, logos, text, designs, and proprietary materials created by Graphic Stylus LLC remain the property of Graphic Stylus LLC unless otherwise agreed in writing.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought in the appropriate courts located in Harris County, Texas.

Changes to These Terms
Graphic Stylus LLC may modify these Terms at any time. Updated versions become effective upon publication on this page.
